In the realm of IT procurement, assessing supplier contracts—particularly those involving consultancy and service providers—can be an arduous and time-consuming process. Traditionally, procurement teams spend significant hours meticulously comparing contract clauses, often involving the legal department for clause validation or compliance checks. This manual effort not only delays negotiations but may also introduce operational risks if red flags are identified too late.

The Challenge of Manual Contract Comparison

  • Accepts two contracts in formats like PDF or Google Docs
  • Compares selected clauses based on customized prompts
  • Produces structured summaries highlighting key differences, risk levels, and actionable recommendations

The primary goal is not to replace legal counsel or procurement professionals but to streamline initial review phases. This allows teams to focus their legal resources on clauses that truly warrant detailed scrutiny and enables early detection of contractual risks.

For example, when contrasting a four-page EU-based GDPR contract with a US-based counterpart, the agent provides insights such as:
